Agreement and Acceptance

This End-User License Agreement (“Agreement”) is between YQG Electric Inc. (“YQG Electric,” “we,” “us,” or “our”) and each person authorized to access or use Alpha5 (“User” or “you”).

By accessing or using Alpha5, you confirm that you have read, understood, and agreed to this Agreement. If you do not agree, you must not access or use Alpha5.

About Alpha5

Alpha5 is a business-operations application developed and operated by YQG Electric Inc. It supports functions such as job management, receipt processing, material and labour tracking, quoting, internal reporting, and authorized integration with QuickBooks Online and other business services.

Alpha5 is currently intended for internal use by YQG Electric Inc. and other specifically authorized users. It is not offered for unrestricted public use.

Limited Licence

Subject to this Agreement, YQG Electric Inc. grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable licence to access and use Alpha5 solely for authorized business purposes.

Alpha5 is licensed, not sold. No ownership rights are transferred to you under this Agreement.

Authorized Use

You may use Alpha5 only:

• For legitimate business purposes authorized by YQG Electric Inc.

• Through an account, device, or access method assigned or approved for you.

• In compliance with applicable laws, company policies, and this Agreement.

You must not:

• Share passwords, authentication information, or access credentials with an unauthorized person.

• Attempt to access information, accounts, systems, or features for which you have not received authorization.

• Copy, sell, rent, sublicense, distribute, reverse engineer, decompile, or create derivative works from Alpha5 except where applicable law expressly permits it.

• Circumvent security controls, usage restrictions, or access protections.

• Introduce malicious code or interfere with Alpha5’s security, availability, performance, or operation.

• Use Alpha5 for unlawful, fraudulent, misleading, abusive, or unauthorized purposes.

Accounts and Security

You are responsible for activity performed through your account or authorized access credentials. You must use reasonable care to protect your account, devices, passwords, and authentication information.

You must promptly notify YQG Electric Inc. if you suspect unauthorized access, compromised credentials, loss of an authorized device, a privacy incident, or another security concern involving Alpha5.

YQG Electric Inc. may restrict, suspend, or terminate access when reasonably necessary to protect Alpha5, its users, connected services, or business information.

QuickBooks Online Connection

Certain Alpha5 features may connect to QuickBooks Online through Intuit’s authorization process. The connection must be approved by an authorized administrator of the applicable QuickBooks company.

When authorized, Alpha5 may retrieve and process permitted QuickBooks information for business purposes such as:

• Matching invoices or sales transactions to jobs and purchase-order numbers.

• Determining job revenue and applicable transaction details.

• Combining revenue information with material and labour costs.

• Producing internal job-costing, profitability, and operational reports.

Alpha5 may access only the information permitted by the authorized connection and the approved QuickBooks API permissions.

An authorized QuickBooks administrator may disconnect Alpha5 or revoke its access. Disconnection prevents Alpha5 from retrieving new QuickBooks information but may not immediately delete information retained for legitimate accounting, business, security, backup, or legal purposes.

QuickBooks Online is a third-party service provided by Intuit Inc. Your use of QuickBooks remains subject to Intuit’s applicable agreements and policies. Intuit is not responsible for Alpha5’s operation, maintenance, support, or performance.

Other Third-Party Services

Alpha5 may interact with services such as QuickBooks, Dropbox, Clockify, Microsoft, Google, Discord, or other authorized providers.

Those services are operated by independent third parties and may be subject to separate terms, privacy policies, availability limitations, and account requirements. YQG Electric Inc. does not control and is not responsible for changes, interruptions, or failures originating from third-party services.

Data and Privacy

Alpha5’s collection, use, storage, protection, retention, and disclosure of information are described in the Alpha5 Privacy Policy.

By using Alpha5, you acknowledge that authorized business information may be processed as necessary to provide, secure, maintain, and improve the application.

You must handle information accessed through Alpha5 according to its sensitivity, applicable privacy requirements, and YQG Electric Inc. policies. You must not disclose confidential, personal, employee, customer, accounting, or business information to unauthorized persons.

Ownership and Intellectual Property

Alpha5, including its software, source code, workflows, interfaces, designs, documentation, branding, and related intellectual property, is owned by YQG Electric Inc. or its applicable licensors.

This Agreement does not grant you any right to use YQG Electric Inc.’s names, logos, trademarks, or branding except as necessary for authorized use of Alpha5.

QuickBooks, Intuit, and other third-party names and marks belong to their respective owners. Their appearance or interoperability with Alpha5 does not imply sponsorship or endorsement unless expressly stated by the applicable owner.

Accuracy and Business Decisions

Alpha5 is designed to assist with business operations and reporting. Information may depend on data entered by users or received from connected services and may be incomplete, delayed, duplicated, or incorrect.

Users are responsible for reviewing important information before relying on it for accounting, payroll, tax, contractual, purchasing, employment, or other material business decisions.

Alpha5 does not replace QuickBooks as the official accounting record and does not provide legal, tax, accounting, or financial advice. Appropriate professional advice should be obtained when required.

Availability, Changes, and Support

YQG Electric Inc. may maintain, update, modify, add, restrict, or discontinue Alpha5 features when reasonably necessary.

We aim to operate Alpha5 reliably but do not guarantee that every feature will always be available, uninterrupted, secure, or error-free. Maintenance, technical failures, network interruptions, third-party outages, security events, and other circumstances may temporarily affect access.

Disclaimer of Warranties

To the maximum extent permitted by applicable law, Alpha5 is provided on an “as is” and “as available” basis.

YQG Electric Inc. disclaims warranties and conditions not expressly stated in this Agreement, including implied warranties or conditions of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted availability, and error-free operation.

Nothing in this Agreement excludes a warranty, condition, right, or remedy that cannot lawfully be excluded.

Limitation of Liability

To the maximum extent permitted by applicable law, YQG Electric Inc. will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to Alpha5.

This includes, without limitation, loss of profits, revenue, business opportunities, data, goodwill, or anticipated savings resulting from application errors, unavailable services, inaccurate information, unauthorized use, or third-party service failures.

Nothing in this Agreement limits liability that cannot lawfully be limited or excluded.

Suspension and Termination

YQG Electric Inc. may suspend or terminate your licence and access if:

• You violate this Agreement or applicable policies.

• You are no longer authorized to use Alpha5.

• Your access creates or may create a security, privacy, legal, or operational risk.

• Alpha5 or an applicable feature is discontinued.

Upon termination, you must stop using Alpha5 and return or securely dispose of confidential information when directed and legally permitted.

Provisions concerning ownership, confidentiality, disclaimers, limitations of liability, and other terms intended to continue after termination will survive termination.

Changes to This Agreement

YQG Electric Inc. may update this Agreement when Alpha5’s features, connected services, business practices, or legal obligations change.

The updated Agreement will be posted on this page with a revised effective date. Continued use of Alpha5 after an updated Agreement takes effect constitutes acceptance of the revised terms, to the extent permitted by applicable law.

Governing Law

This Agreement is governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law principles.

Any dispute relating to this Agreement or Alpha5 will be submitted to the courts located in Ontario, unless applicable law requires otherwise.
